Important — Read Carefully
This Master Subscription Agreement (the “Agreement”) is a binding contract between Lean-k-Solutions L.L.C-FZ (“Lean-k”, “we”, “us”, or “our”) and the counterparty identified in an Order Form or determined under Clause 2 (“Customer”). By accepting this Agreement or executing an Order Form that references these Terms, the Customer agrees to be bound by them.
1. Definitions
This section defines key terms such as “Account Owner”, “Agreement”, “Affiliate”, “AI Agent Features”, “Customer”, “Platform”, “Services”, “Professional Services”, “Restricted Data”, and more as outlined in the full Agreement.
2. Parties; Contract Formation; Orders; Amendments
The Agreement forms a binding contract on the Effective Date. Each Order is governed by this Agreement, and any conflict is resolved with priority to the Order and Data Processing Addendum (DPA). Lean-k may amend terms by notice or posting; continued use constitutes acceptance.
3. Access; Restrictions; Usage
Customer will comply with seat limits, usage quotas, and restrictions. Reverse engineering, reselling, or unauthorized content use is prohibited. Lean-k may audit usage and enforce limits.
4. Accounts; Administration
Customer is responsible for maintaining secure credentials and managing users. Unauthorized use must be reported immediately.
5. Acceptable Use; Call Recording & Participation
Customer must comply with UAE laws on marketing and consent. If call recording or AI participation is enabled, Customer is responsible for obtaining required consents and compliance.
6. Customer Data; Connectors; Third-Party Services
Customer owns all Customer Data. Lean-k is licensed to process it for providing Services. Customer manages Connectors and is responsible for third-party service compliance.
7. AI/Agent Features; Outputs; Training
AI Outputs may be inaccurate. Customer must review them. Lean-k will not train models using Customer Content unless expressly opted-in via Order.
8. Security, Privacy & Data Handling
Lean-k applies industry-standard safeguards and notifies customers of confirmed security incidents. Data handling and international transfers follow applicable privacy laws and DPA terms.
9. Support & Service Levels
Support is available during business hours (GST). Enterprise SLA may be included in Orders. Maintenance may cause brief interruptions with notice.
10. Fees; Taxes; Invoicing; Non-Payment
Fees are defined in Orders and non-refundable. Late payments may incur interest. Taxes are the Customer’s responsibility. Lean-k may suspend services for non-payment.
11. Lead Product (if applicable)
Leads are sourced from third parties based on agreed criteria. No guarantee of exclusivity or conversion is provided. Purchases are final and non-refundable.
12. Confidentiality
Each Party will protect Confidential Information using reasonable care and use it only for Agreement purposes. Exceptions and disclosure terms are defined in the Agreement.
13. Disclaimers
The Services and AI Features are provided “as is” without warranties. Lean-k disclaims all implied warranties including merchantability, fitness for purpose, and non-infringement.
14. Indemnification
Lean-k will defend the Customer against certain IP claims. Customer will indemnify Lean-k for issues arising from Customer Data, recordings, or violations of law or third-party rights.
15. Limitation of Liability
Neither Party is liable for indirect or consequential damages. Each Party’s total liability is capped at Fees paid in the preceding six months, except as otherwise stated.
16. Suspension; Term; Renewal; Termination
Subscriptions renew automatically unless canceled with 30-day notice. Data is exportable for 30 days after termination before deletion or de-identification.
17. Investigations & Cooperation
Lean-k may access or preserve Customer Data as required by law or to address abuse, fraud, or compliance concerns.
18. Force Majeure
Performance is excused during events beyond control (e.g., disasters, cyberattacks, regulatory changes). Time periods are extended accordingly.
19. Third-Party Services & Open Source
Lean-k is not responsible for performance or availability of third-party services. Customers are responsible for managing external accounts.
20. Governing Law & Dispute Resolution
This Agreement is governed by the laws of the DIFC. Disputes are resolved via arbitration administered by DIAC, seated in the DIFC and conducted in English.
21. Notices
Notices must be in writing via email, console message, or courier. Service communications are delivered electronically to registered addresses.
22. Publicity
Lean-k may use the Customer’s name and logo for marketing unless Customer opts out in writing.
23. General
This Agreement constitutes the entire understanding between the Parties, superseding prior versions. Clauses on confidentiality, limitation, and dispute resolution survive termination.
